Opinion of Counsel Concerning Organization and Transaction. DONOBI shall have received from counsel for H-NET, a favorable opinion addressed to DONOBI and dated as of the Closing Date, satisfactory in form and content to DONOBI, concerning the organization of H-Net and this transaction. The parties have agreed that DONOBI, at its own expense, shall retain an attorney licensed to practice law in the State of Colorado ("Colorado counsel") for the purpose of rendering an opinion under Colorado Law regarding the organization and transaction.
