OPINION OF COUNSEL FOR RELATED PERSONS. A written opinion of Glast, Xxxxxxxx, Xxxxxx P.C., counsel for Related Persons, dated as of the date of this Amendment, addressed to Agent, to the effect that this Amendment has been duly authorized, executed and delivered by each Related Person to the extent each is a party thereto and that the Credit Agreement and this Amendment constitute the legal, valid and binding obligations of each Related Person to the extent each is a party thereto, enforceable in accordance with their terms (subject, as to enforcement of remedies, to applicable bankruptcy, reorganization, insolvency and similar laws and to general principles of equity), and such other matters as may be requested.
