Common use of Opinion of Counsel for Remarketing Agent Clause in Contracts

Opinion of Counsel for Remarketing Agent. The Fund and the Underwriter shall have received from Cadwalader, Xxxxxxxxxx & Xxxx LLP, counsel for the Remarketing Agent, such opinions, dated the Closing Time and addressed to the Fund and the Underwriter, with respect to such matters as the Fund may reasonably require, and the Remarketing Agent shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. Such counsel may also state that, insofar as such opinion involves factual matters, they have relied, to the extent they deem proper, upon certificates of officers of the Remarketing Agent and certificates of public officials.
