Common use of Opinion of Counsel for Selling Stockholders Clause in Contracts

Opinion of Counsel for Selling Stockholders. The Underwriters shall have received (i) an opinion, dated such Closing Date, of Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for AEA EWT Holdings LP, in a form reasonably satisfactory to the Underwriters, and (ii) an opinion, dated such Closing Date, of Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for the Non-Sponsor Selling Stockholders, in a form reasonably satisfactory to the Underwriters.
