Common use of Opinion of Counsel for Selling Stockholders Clause in Contracts

Opinion of Counsel for Selling Stockholders. The Representatives shall have received (i) an opinion, dated such Closing Date, of Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for AEA EWT Holdings LP, in a form acceptable to the Representatives, and (ii) an opinion, dated such Closing Date, of Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for the Non-Sponsor Selling Stockholders, in a form acceptable to the Representatives.

The Representatives shall have received (i) an opinion, dated such the Closing Date, of Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for AEA EWT GMS Holdings LP, in a the form acceptable to the Representativesset forth in Exhibit C-1 hereto, and (ii) an opinion, dated such the Closing Date, of Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, counsel for the Non-Sponsor Selling Stockholders, in a the form acceptable to the Representativesset forth in Exhibit C-2 hereto.
