Common use of Opinion of Counsel for the Agents Clause in Contracts

Opinion of Counsel for the Agents. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit F for which no waiver is applicable, the Agents shall have received the favorable written opinion or opinions of Sxxxxxx Xxxxxxx & Bxxxxxxx LLP, counsel for the Agents, dated such date, with respect to such matters as the Agents may reasonably request.

Opinion of Counsel for the Agents. On or prior to the date that the first Securities Shares are sold pursuant to the terms of this Agreement, Agreement and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate substantially in the form attached hereto as Exhibit F E for which no waiver is applicable, the Agents Agents, the Forward Sellers and the Forward Purchasers shall have received the favorable written opinion and disclosure letter or opinions of Sxxxxxx Xxxxxxx Xxxxxx & Bxxxxxxx LLPXxxxxx L.L.P., counsel for the AgentsAgent, dated such date, with respect to such matters as the Agents Agent may reasonably request.

Opinion of Counsel for the Agents. On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, and within three (3) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit F pursuant to Section 7(n) for which no waiver is applicable, the Agents shall have received the favorable written opinion or opinions of Sxxxxxx Xxxxxxx & Bxxxxxxx Cxxxxxxx Chance US LLP, counsel for the Agents, dated such datethe date it is delivered, with respect to such matters as the Agents may reasonably request.

On or prior to the date that the first Securities are sold pursuant to the terms of this Agreement, and within three five (35) Trading Days of each Representation Date with respect to which the Company is obligated to deliver a certificate in the form attached hereto as Exhibit F for which no waiver is applicable, the Agents shall have received the favorable written opinion or opinions of Sxxxxxx Xxxxxxx Dxxxx Xxxx & Bxxxxxxx Wxxxxxxx LLP, counsel for the Agents, dated such date, with respect to such matters as the Agents may reasonably request.
