Opinion of Counsel for the Company and the Operating Partnership. At the Closing Time, the Underwriter shall have received the favorable opinion, dated the Closing Time, of Stroock & Stroock & Xxxxx LLP, counsel for the Company and the Operating Partnership, in form and substance satisfactory to the Underwriter, to the effect set forth in Exhibits A-1 and A-2 hereto and to such further effect as counsel to the Underwriter may reasonably request.

At the Closing Time, the Underwriter Underwriters shall have received the favorable opinionopinion and negative assurance letter, dated the Closing Time, of Stroock Xxxxxx & Stroock & Xxxxx Xxxxxxx LLP, counsel for the Company and the Operating Partnership, in form and substance satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of such opinion and letter for each of the other Underwriters, to the effect set forth in Exhibits Exhibit A-1 and Exhibit A-2 hereto and to such further effect as counsel to the Underwriter may reasonably requesthereto.
