Opinion of Counsel for the Issuers. On the Closing Date the Initial Purchasers shall have received the favorable opinion, dated as of the Closing Date, of Xxxxxx & Xxxxxx, L.L.P., counsel for the Issuers, in form and in substance reasonably satisfactory to counsel for the Initial Purchasers, to the effect set forth in Exhibit A hereto.
