Common use of Opinion of Counsel for the Issuers Clause in Contracts

Opinion of Counsel for the Issuers. On the Closing Date the Underwriters shall have received the favorable opinions of each of Akin Gump Xxxxxxx Xxxxx & Xxxx LLP, counsel for the Issuers, Liskow & Xxxxx, A Professional Law Corporation and counsel for TDC, L.L.C., and the General Counsel of the Partnership, each addressed to the Underwriters and dated as of such Closing Date, and in substantially the form and substance as set forth in Exhibit X-0, Xxxxxxx X-0 and Exhibit A-3 hereto, respectively, and as otherwise reasonably satisfactory to counsel for the Underwriters.

Opinion of Counsel for the Issuers. On the Closing Date the Underwriters shall have received the favorable opinions of each of Akin Gump Xxxxxxx Xxxxx & Xxxx Xxxxxxxx LLP, counsel for the Issuers, Liskow Xxxxxx & Xxxxx, A a Professional Law Corporation and Corporation, counsel for TDC, L.L.C., and the General Counsel of the Partnership, each addressed to the Underwriters and dated as of such Closing Date, and in substantially the form and substance as set forth in Exhibit X-0A-1, Xxxxxxx X-0 Exhibit A-2 and Exhibit A-3 hereto, respectively, and as otherwise reasonably satisfactory to counsel for the Underwriters.
