Common use of Opinion of Counsel for the Manager and the Forward Purchaser Clause in Contracts

Opinion of Counsel for the Manager and the Forward Purchaser. The Manager and the Forward Purchaser shall have received, on each Representation Date, from Sidley Austin LLP, counsel for the Manager and the Forward Purchaser, such opinion or opinions, dated such date, with respect to such matters as the Manager and the Forward Purchaser may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Sidley Austin LLP may rely as to all matters governed by Texas law upon the opinion of Dentons US LLP referred to above.
