Common use of Opinion of Counsel for the Manager Clause in Contracts

Opinion of Counsel for the Manager. The Manager shall have received from Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for the Manager, on each Representation Date, such opinion or opinions, dated such date, with respect to such matters as the Manager may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

The Manager shall have received from Skadden, Arps, Slate, Xxxxxxx Dxxxx Xxxx & Xxxx Wxxxxxxx LLP, counsel for the Manager, on the date hereof and on each Representation Date, such opinion or opinionsand 10b-5 letter, dated such date, with respect to such matters as the Manager may require, and the Company shall have furnished to such counsel such documents as they request it requests for the purpose of enabling them it to pass upon such matters.
