Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter shall have received the favorable opinion, dated the Closing Time, of Xxxxxxx Xxxx & Xxxxxxxxx LLP, counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter Representative shall have received the favorable opinion, dated the Closing Time, of Xxxxxxx Xxxx Xxxxxxxx & Xxxxxxxxx Xxxxx LLP, counsel for the Selling Shareholder, in form and substance reasonably satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of such letter for each of the Underwriter other Underwriters substantially to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably requesthereto.

Opinion of Counsel for the Selling Shareholder. At On the Closing TimeDate, the Underwriter Underwriters shall have received the favorable opinion, dated the Closing Time, opinion of Xxxxxxx Xxxx Xxxxxxxx & Xxxxxxxxx Xxxxx LLP, counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies dated as of such letter for Closing Date, the Underwriter to the effect set forth in form of which is attached as Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.D.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter shall have received the favorable opinion, dated the Closing Time, of Xxxxxxx Xxxx & Xxxxxxxxx LLPXxxxxxxxx, U.S. counsel for the Selling Shareholder and Xxxxxx N.V., Dutch counsel for the Selling Shareholder, in form and substance reasonably satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter Representatives shall have received the favorable opinion, dated the as of Closing Time, of Xxxxxxx Xxxx Debevoise & Xxxxxxxxx LLPPxxxxxxx, counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of such letter for each of the Underwriter other Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter Underwriters may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter Representatives shall have received the favorable opinion, dated the Closing Time, of Xxxxxxx Xxxx & Xxxxxxxxx LLPHouthoff Coöperatief U.A., counsel for the Selling Shareholder, Shareholder in form and substance reasonably satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of each such letter for each of the Underwriter other Underwriters to the effect set forth in Exhibit B C hereto and to such further effect as counsel to the Underwriter Underwriters may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter shall have received the favorable an opinion, dated as of the Closing Time, of Xxxxxxx Xxxx Xxxxxxx & Xxxxxxxxx Xxxxxxxx LLP, counsel for the Selling Shareholder, in substantially the form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably requestE hereto.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter Representatives shall have received the favorable opinion, dated the as of Closing Time, of Xxxxxxx Xxxx LeBoeuf, Lamb, Xxxxxx & Xxxxxxxxx LLPXxxXxx, L.L.P., counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of such letter for each of the Underwriter other Underwriters to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter Underwriters may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing TimeDate, the Underwriter shall have received the favorable opinion, dated as of the Closing TimeDate, of Xxxxxxx Xxxx Xxxxxxxx & Xxxxxxxxx LLPXxxxxx, Ltd., counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B E hereto and to such further effect as counsel to the Underwriter may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter Representatives shall have received the favorable opinion, dated as of the Closing Time, of Xxxxxxx Xxxx & Xxxxxxxxx LLPXxxxxx L.L.C., counsel for the Selling Shareholder, in form and substance reasonably satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of such letter for each of the Underwriter other Underwriters substantially to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter Underwriters may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Underwriter Representatives shall have received the favorable opinionopinions, dated the as of Closing Time, of (i) Xxxxxxx Xxxx Xxxxx, Xxxxxxx & Xxxxxxxxx, and (ii) Jenkens & Xxxxxxxxx Xxxxxx Xxxxxx LLP, counsel for the Selling Shareholder, in form and substance reasonably satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of such letter for each of the Underwriter other Underwriters to the effect set forth in Exhibit Exhibits B hereto and to such further effect as counsel to the Underwriter may reasonably requestBB hereto, respectively.

Opinion of Counsel for the Selling Shareholder. Opinion of Counsel for the Selling Shareholder.
