Common use of Opinion of Counsel for the Selling Shareholder Clause in Contracts

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Representatives shall have received the favorable opinion as to matters of English law, dated the Closing Time, of Skadden, Arps, Slate, Xxxxxxx & Xxxx (UK) LLP, counsel for the Selling Shareholder, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit B hereto.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Representatives shall have received the favorable opinion as to matters of English lawopinion, dated the Closing Time, of Skadden, Arps, Slate, Xxxxxxx & Xxxx (UK) Proskauer Rose LLP, counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit B hereto.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Representatives shall have received the favorable opinion dated as to matters of English law, dated the Closing Time, of SkaddenNyemaster, ArpsGoode, SlateWest, Xxxxxxx & Xxxx (UK) LLPX’Xxxxx, P.C., counsel for the Selling Shareholder, in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, Underwriters to the effect set forth in Exhibit B heretoD hereto and to such further effect as counsel to the Underwriters may reasonably request.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, the Representatives shall have received the favorable opinion as to matters of English lawopinion, dated the Closing Time, of Skadden, Arps, Slate, Xxxxxxx Xxxxxxxx & Xxxx (UK) Xxxxx LLP, U.S. counsel for the Selling Shareholder, and Xxxxxxxx & Xxxxx International LLP, French counsel for the Selling Shareholder, in each case in form and substance satisfactory to counsel for the Underwriters, together with signed or reproduced copies of such letter for each of the other Underwriters, to the effect set forth in Exhibit B hereto.
