Common use of Opinion of Counsel for the Selling Shareholder Clause in Contracts

Opinion of Counsel for the Selling Shareholder. At the Closing Time, Xxxxxxx Xxxxx shall have received the opinion, dated the Closing Time, of Xxxxxx, Xxxxxx & Xxxxx LLP, counsel for the Selling Shareholder, substantially to the effect set forth in Exhibit B hereto.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, Xxxxxxx Xxxxx The Representative shall have received the an opinion, dated the such Closing TimeDate, of Xxxxxx, Xxxxxx Xxxxxxx Xxxxxxx & Xxxxx Xxxxxxxx LLP, U.S. counsel for the Selling Shareholder, substantially in form and substance acceptable to the effect set forth in Exhibit B heretoUnderwriters.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, Xxxxxxx Xxxxx the Representatives shall have received the an opinion, dated as of the Closing Time, of Xxxxxx, Xxxxxx Xxxxxxx Xxxxxxx & Xxxxx Xxxxxxxx LLP, counsel for the Selling Shareholder, in substantially to the effect set forth in form of Exhibit B E hereto.

Opinion of Counsel for the Selling Shareholder. At On each of the First Closing Time, Xxxxxxx Xxxxx Date and each Option Closing Date the Representatives shall have received the opinion, dated the Closing Time, opinion of Xxxxxx, Xxxxxx & Xxxxx Xxxxxx LLP, counsel for the Selling Shareholder, substantially to dated as of such Closing Date, the effect set forth in form of which is attached as Exhibit B hereto(and the Representatives shall have received an additional three conformed copies of such counsel’s legal opinion for each of the several Underwriters).

Opinion of Counsel for the Selling Shareholder. At On each Option Closing Date the Closing Time, Xxxxxxx Xxxxx Representative shall have received the opinion, dated the Closing Time, opinion of Xxxxxx and Xxxxxx, Xxxxxx & Xxxxx LLP, counsel for the Selling Shareholder, substantially dated as of such Closing Date, to the effect set forth in Exhibit B hereto.C.

Opinion of Counsel for the Selling Shareholder. At the Closing Time, Xxxxxxx Xxxxx the Representatives shall have received the favorable opinion, dated the Closing Time, of Xxxxxx, Xxxxxx & Xxxx Xxxxx LLP, counsel for the Selling Shareholder, substantially in the form agreed to by the effect set forth in Exhibit B heretoRepresentative prior to execution of this Agreement, together with signed or reproduced copies of such letter for each of the other Underwriters.
