Common use of Opinion of Counsel for the Selling Shareholder Clause in Contracts

Opinion of Counsel for the Selling Shareholder. The Representatives shall have received an opinion, dated such Closing Date, of Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, U.S. counsel for the Selling Shareholder, in form and substance acceptable to the Underwriters.

Opinion of Counsel for the Selling Shareholder. The Representatives shall have received an opinion, dated such Closing Date, of Xxxxxxx Xxxxxxx & Xxxxxxxx Hxxxxxx Xxxxx LLP, U.S. U.K. counsel for the Selling Shareholder, shall have furnished to the Representatives, at the request of the Selling Shareholder, their written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance acceptable reasonably satisfactory to the UnderwritersRepresentatives, to the effect set forth in Annex C hereto.

Opinion of Counsel for the Selling Shareholder. The Representatives shall have received an opinion, dated such Closing Date, of Xxxxxxx Xxxxxxx Xxxxxx Xxxxxxxx Xxxxx & Xxxxxxxx LLP, U.S. counsel for the Selling ShareholderShareholders, shall have furnished to the Representative, at the request of the Selling Shareholders, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance acceptable reasonably satisfactory to the UnderwritersRepresentatives, to the effect set forth in Annex D-4 hereto.

The Representatives shall have received an opinion, dated such Closing Date, of Xxxxxxx Xxxxxxx & Xxxxxxxx Xxxxx Lovells US LLP, U.S. counsel for the Selling Shareholder, shall have furnished to the Underwriters, at the request of the Selling Shareholder, their written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance acceptable reasonably satisfactory to the Underwriters, to the effect set forth in Annex D-3 hereto.
