Opinion of Counsel for the Selling Shareholders. Kxxxxxxx & Exxxx LLP, as counsel for the Selling Shareholders, shall have furnished to the Representatives, its written opinion dated the Closing Date or the Option Closing Date, as the case may be, and addressed to the Underwriters, substantially in the forms attached as Exhibit F, as applicable, hereto.

Opinion of Counsel for the Selling Shareholders. Kxxxxxxx & Exxxx LLPOn the Closing Date, as counsel for each of the respective Selling Shareholders, Shareholders shall have furnished to the RepresentativesRepresentatives their written opinion, its written opinion dated as of the Closing Date or the Option Closing Date, as in form and substance reasonably satisfactory to counsel for the case may be, and addressed Underwriters to the Underwriters, substantially in effect set forth on Exhibit D hereto and to such further effect as counsel for the forms attached as Exhibit F, as applicable, heretoUnderwriters may reasonably request.

Kxxxxxxx & Exxxx On the Closing Date or Option Closing Date, as the case may be, Hunton Xxxxxxx Xxxxx LLP, as counsel for the Selling Shareholders, shall have furnished to the RepresentativesUnderwriters their favorable written opinion, its written opinion dated the Closing Date or the Option Closing Date, as the case may be, in form and addressed substance satisfactory to counsel for the Underwriters, substantially to the effect set forth in Exhibit B hereto and to such further effect as counsel for the forms attached as Exhibit F, as applicable, heretoUnderwriters may reasonably request.

Xxxxxx, as special counsel for the Selling Shareholders, shall have furnished to the Representatives, its at the request of the Selling Shareholders, his written opinion opinion, dated the Closing Date or the Option Additional Closing Date, as the case may be, and addressed to the Underwriters, substantially in form and substance reasonably satisfactory to the forms attached as Exhibit FRepresentatives, as applicable, to the effect set forth in Annex C-4 hereto.
