Opinion of Counsel for the Selling Stockholder. Kxxxxxxx & Exxxx LLP, counsel for the Selling Stockholder, shall have furnished to Gxxxxxx Sachs, at the request of the Selling Stockholder, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to Gxxxxxx Sxxxx, in form and substance reasonably satisfactory to the Underwriters.
