Common use of Opinion of Counsel for the Selling Stockholder Clause in Contracts

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Underwriter shall have received the favorable opinion, dated as of the Closing Time, of Xxxxx X. Xxxxxxxx, general counsel of the Selling Stockholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Underwriter shall have received the favorable opinion, dated as of the Closing Time, of Xxxxx X. XxxxxxxxCleary, general Gottlieb, Steen and Hamilton, counsel of for the Selling Stockholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set xxx forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably requestxx Xxxxbit F hereto.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Underwriter shall have received the favorable opinion, dated as of the Closing Time, of Xxxxx X. XxxxxxxxSkadden, general Arps, Slate, Xxxxxxx & Xxxx LLP, counsel of for the Selling Stockholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B C-1 hereto with respect to United States law, and to the effect set forth in Exhibit C-2 hereto with respect to United Kingdom law, and to such further effect as counsel to for the Underwriter may reasonably request.

Opinion of Counsel for the Selling Stockholder. XxxxxxxxXxxxxxxxx Glusker Fields Claman, general Machtinger & Xxxxxxxx LLP, counsel of for the Selling Stockholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Underwriter shall have received the favorable opinionreceived, dated as of the Closing Time, (i) the favorable opinion of Xxxxx X. XxxxxxxxXxxxxxx Xxxxxxx, general in-house counsel of for the Selling Stockholder, in form and substance satisfactory to counsel for the Underwriter, together with signed or reproduced copies of such letter for the Underwriter to the effect set forth in Exhibit B hereto A-3 hereto, and (ii) the favorable opinion of Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the the Selling Stockholder, in form and substance satisfactory to such further effect as counsel for the Underwriter, to the Underwriter may reasonably requesteffect set forth in Exhibit A-4 hereto.

Opinion of Counsel for the Selling Stockholder. At the Closing Time, the Underwriter Underwriters shall have received the favorable opinion, dated as of the Closing Time, of Xxxxx X. XxxxxxxxXxxxxx Xxxxxxx & Xxxxxxx LLP, general counsel of for the Selling Stockholder, in form and substance satisfactory to counsel for the UnderwriterUnderwriters, together with signed or reproduced copies of such letter for each of the Underwriter other Underwriters to the effect set forth in Exhibit B C hereto and to such further effect as counsel to the Underwriter Underwriters may reasonably request.
