Common use of Opinion of Counsel for the Underwriter Clause in Contracts

Opinion of Counsel for the Underwriter. On the Closing Date the Underwriter shall have received the opinion and negative assurance letter of Xxxxxx, Xxxx & Xxxxxxxx LLP, counsel for the Underwriter in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriter, dated as of such date.

Opinion of Counsel for the Underwriter. On the Closing Date the Underwriter shall have received an executed copy of the opinion and negative assurance letter 10b-5 statement of Xxxxxx, Xxxx Xxxxxx & Xxxxxxxx Xxxxxxx LLP, counsel for the Underwriter in connection with the offer and sale of the Offered Shares, in form and substance reasonably satisfactory to the Underwriter, dated as of such date.

Opinion of Counsel for the Underwriter. On The Underwriters shall have received on the Closing Date the Underwriter shall have received the and each Option Closing Date, if any, an opinion and negative assurance letter of XxxxxxXxxxxxxxxx & Xxxxx, Xxxx & Xxxxxxxx LLPP.A., counsel for Xxxxxxxxx & Company LLC, dated the Underwriter in connection with Closing Date or such Option Closing Date, as the offer and sale of the Offered Sharescase may be, in form and substance satisfactory to the Underwriter, dated as of such date.

Opinion of Counsel for the Underwriter. On each of the First Closing Date and each Option Closing Date the Underwriter shall have received the opinion and negative assurance letter of Xxxxxx, Xxxx Xxxxxx & Xxxxxxxx Xxxxxxx LLP, counsel for the Underwriter in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriter, dated as of such date, with executed copies for each of the other Underwriter named on the Prospectus cover page.

Opinion of Counsel for the Underwriter. On the Closing Date Date, the Underwriter shall have received the favorable opinion and negative assurance letter of Xxxxxx, Xxxxx Xxxx & Xxxxxxxx LLPXxxxxxxx, counsel for the Underwriter in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriter, dated as of such dateClosing Date, in form and substance satisfactory to, and addressed to, the Underwriter, with respect to the Registration Statement, the Prospectus (together with any supplement thereto), the Disclosure Package and other related matters as the Underwriter may reasonably require, and the Issuer shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

On each of the Closing Date and any Subsequent Closing Date the Underwriter shall have received the favorable opinion and negative assurance letter of Xxxxxx, Xxxx Debevoise & Xxxxxxxx Pxxxxxxx LLP, counsel for the Underwriter in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriter, dated as of such dateClosing Date, with respect to the validity of the Shares and other related matters as the Underwriter reasonably may request, and such counsel shall have received such papers and information as they request to enable them to pass upon such matters.
