Opinion of Counsel for U. S. Underwriters. At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Xxxxx & Xxxx LLP, counsel for the U.S. Underwriters, in form and substance reasonably satisfactory to the U.S. Representatives, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters.

At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Xxxxx each of Cahixx Xxxxxx & Xxxx LLPXeinxxx, counsel xxunsel for the U.S. Underwriters, in form and substance reasonably satisfactory Clifxxxx Xxxnce, special Russian counsel to the U.S. RepresentativesUnderwriters, together with signed or reproduced copies of such letter for each of the other U.S. UnderwritersUnderwriters as to such matters as are reasonably requested by the Representatives.

At Closing Time, the U.S. Representatives Underwriters shall have received the favorable opinion, dated as of Closing Time, of Xxxxx Cahixx Xxxxxx & Xxxx LLPXeinxxx, counsel xxunsel for the U.S. Underwriters, in form and substance reasonably satisfactory to the U.S. Representatives, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters.

At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Xxxxx & Xxxx Wood LLP, counsel for the U.S. Underwriters, in form and substance reasonably satisfactory with respect to the incorporation and existence of the Company, the Securities, the Purchase Agreements, the Registration Statement, the Prospectuses and such other related matters as the U.S. RepresentativesRepresentatives may request, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters.
