Common use of Opinion of Counsel for U Clause in Contracts

Opinion of Counsel for U. S. Underwriters. At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Debevoise & Xxxxxxxx, counsel for the U.S. Underwriters, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters in form and substance satisfactory to the U.S. Underwriters.

Opinion of Counsel for U. S. Underwriters. At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Debevoise each of Cahixx Xxxxxx & XxxxxxxxXeinxxx, xxunsel for the U.S. Underwriters, and Clifxxxx Xxxnce, special Russian counsel for to the U.S. Underwriters, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters in form and substance satisfactory as to such matters as are reasonably requested by the U.S. UnderwritersRepresentatives.

At the Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Debevoise & XxxxxxxxBakex Xxxtx X.X.P., counsel for the U.S. Underwriters, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters Underwriters, in form and substance reasonably satisfactory to the U.S. Underwriters.

At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Debevoise Xxxxxx & XxxxxxxxXxxxxx L.L.P., counsel for the U.S. Underwriters, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters in customary form and substance satisfactory to covering such matters as the U.S. UnderwritersUnderwriters may reasonably request.

Opinion of Counsel for U. S. Underwriters. At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Debevoise Xxxxx & XxxxxxxxWood LLP, counsel for the U.S. Underwriters, with respect to the incorporation and existence of the Company, the Securities, the Purchase Agreements, the Registration Statement, the Prospectuses and such other related matters as the U.S. Representatives may request, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters in form and substance satisfactory to the U.S. Underwriters.

At Closing Time, the U.S. Representatives shall have received the favorable opinion, dated as of Closing Time, of Debevoise Andrxxx & XxxxxxxxXurtx X.X.P., counsel for the U.S. Underwriters, together with signed or reproduced copies of such letter for each of the other U.S. Underwriters in form and substance satisfactory with respect to the matters requested by the U.S. Underwriters.
