Common use of Opinion of Counsel for Underwriter Clause in Contracts

Opinion of Counsel for Underwriter. At the Closing Date, the Underwriter shall have received an opinion, dated as of the Closing Date, of Hunton & Xxxxxxxx LLP, counsel for the Underwriter, with respect to the issuance and sale of the Securities, the Registration Statement and the Prospectus and such other related matters as the Underwriter may reasonably request. In giving such opinion, Hunton & Xxxxxxxx LLP may rely without investigation, as to all matters arising under or governed by the laws of the State of Maryland, on the opinion of Xxxxxxxx Chance US LLP referred to in Section 5(c) above.
