Common use of Opinion of Counsel of the Company Clause in Contracts

Opinion of Counsel of the Company. Xxxxxxx X. Xxxxxxx, XXX, Executive Vice President, General Counsel and Corporate Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex B hereto.

Opinion of Counsel of the Company. Xxxxxxx X. XxxxxxxXxxxx, XXX, Executive Senior Vice President, President and General Counsel and Corporate Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, Representative his written opinion, dated the Closing Date and addressed to the UnderwritersDate, in form and substance reasonably satisfactory to the RepresentativesRepresentative, to the effect set forth in Annex B C hereto. In rendering such opinions, such counsel may rely as to matters of fact, to the extent such counsel deems proper, on certificates of responsible officers of the Company and certificates or other written statements of public officials.

Xxxxxxx, XXXIII, Executive Vice President, Corporate Secretary and Deputy General Counsel and Corporate Secretary of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex B hereto.

Opinion of Counsel of the Company. Xxxxxxx X. XxxxxxxMxxx Xxxxxxxxxx, XXX, Executive Vice President, General Chief Counsel – Securities and Corporate Secretary Finance of the Company, shall have furnished to the Representatives, at the request of the Company, his written opinion, dated the Closing Date and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex B hereto.
