Common use of Opinion of Counsel to Agent Clause in Contracts

Opinion of Counsel to Agent. The Agent and the Collateral Agent, subject to Sections 6.01 and 6.03 and Sections 5.03 and 5.05, respectively, may receive an Opinion of Counsel as conclusive evidence that any such consolidation, merger, sale, conveyance or lease, and any such assumption, complies with the provisions of this Article.

Opinion of Counsel to Agent. The Agent and the Collateral Agent, subject to Sections 6.01 5.01 and 6.03 and Sections 5.03 and 5.05, respectively, 5.02 may receive an Opinion of Counsel as conclusive evidence that any such consolidation, merger, sale, conveyance or lease, and any such assumption, complies with the provisions of this Article.

Opinion of Counsel to Agent. The Agent and the Collateral Agent, subject to Sections 6.01 6.1 and 6.03 6.3 and Sections 5.03 5.3 and 5.055.5, respectively, may receive an Opinion of Counsel as conclusive evidence that any such consolidation, merger, sale, conveyance or lease, and any such assumption, complies with the provisions of this Article.

The Agent and the Collateral Agent, subject to Sections 6.01 601 and 6.03 603 and Sections 5.03 503 and 5.05505, respectively, may receive an Opinion of Counsel as conclusive evidence that any such consolidation, merger, sale, conveyance or lease, and any such assumption, complies with the provisions of this Article.

Opinion of Counsel to Agent. The Agent and the Collateral Agent, subject to Sections 6.01 5.1 and 6.03 and Sections 5.03 and 5.05, respectively, 5.2 may receive an Opinion of Counsel as conclusive evidence that any such consolidation, merger, sale, conveyance or lease, and any such assumption, complies with the provisions of this Article.
