Common use of Opinion of Counsel to Credit Parties Clause in Contracts

Opinion of Counsel to Credit Parties. The Administrative Agent shall have received a favorable written opinion (addressed to the Administrative Agent and the Noteholders and dated the Effective Date) of Xxxxxx, Xxxxxxxx and Xxxxxx, P.A., counsel to the Credit Parties, substantially in the form of Exhibit H annexed to the Credit Agreement and covering such matters relating to the Credit Parties, this Agreement, the other Note Purchase Documents or the Transactions as the Required Senior Lenders shall request (and each Credit Party hereby requests such counsel to deliver such opinion).

Opinion of Counsel to Credit Parties. The Administrative Agent shall have received a favorable written opinion (addressed to the Administrative Agent and the Noteholders Lenders and dated the Incremental Amendment No. 1 Effective Date) of Xxxxxx, Xxxxxxxx and Xxxxxx, P.A.(i) Xxxx Xxxxxx LLP, counsel to the Credit Parties, substantially in the a form of Exhibit H annexed satisfactory to the Credit Agreement Administrative Agent and covering such matters relating (ii) Xxxxx Lord LLP, New York counsel to the Credit Parties, this Agreementin a form satisfactory to the Administrative Agent and, the other Note Purchase Documents or the Transactions in each case, covering such matters as the Required Senior Lenders Administrative Agent shall request (and each Credit Party hereby requests such counsel to deliver such opinion)request.

The Administrative Agent shall have received a favorable written opinion opinions (addressed to the Administrative Agent Agent, the Collateral Agent, the Lenders and the Noteholders Issuing Bank and dated the Effective Closing Date) of XxxxxxPaul, Hastings, Xxxxxxxx and Xxxxxx, P.A.& Xxxxxx LLP, counsel to for the Credit Parties, substantially each in the form of Exhibit H annexed and substance reasonably satisfactory to the Credit Agreement and covering such matters relating to the Credit Parties, this Agreement, the other Note Purchase Documents or the Transactions as the Required Senior Lenders shall request Administrative Agent (and each Credit Party hereby requests instructs such counsel to deliver such opinionopinion to the Administrative Agent).
