Common use of Opinion of Counsel to Loan Parties Clause in Contracts

Opinion of Counsel to Loan Parties. The Administrative Agent shall have received an executed copy of a written opinion of Simpson, Thacher & Bxxxxxxx LLP, counsel for the Loan Parties, addressed to the Administrative Agent and the Lenders party to the Credit Agreement (immediately after the First Amendment Effective Date), dated as of the First Amendment Effective Date, in form and substance reasonably satisfactory to the Administrative Agent.

Opinion of Counsel to Loan Parties. The Administrative Agent shall have received an executed copy of a written opinion of Simpson, Thacher & Bxxxxxxx Xxxxxxxx LLP, counsel for the Loan Parties, addressed to the Administrative Agent and the Lenders party to the Restated Credit Agreement (immediately after the First Amendment Effective Date)Agreement, dated as of the First Amendment Effective Restatement Date, in form and substance reasonably satisfactory to the Administrative Agent.;

The Administrative Agent shall have received an executed copy of a written opinion of Simpson, Thacher & Bxxxxxxx Xxxxxxxx LLP, counsel for the Loan Parties, addressed to the Administrative Agent Lender and the Lenders party to the Credit Agreement (immediately after the First Amendment Effective Date)Agreement, dated as of the First Fourth Amendment Effective Date, in form and substance reasonably substantially identical to the opinion delivered in connection with the Credit Agreement on the Second Amendment Effective Date, and otherwise in form and substance satisfactory to the Administrative Agent.
