Opinion of Counsel to Loan Parties. The Administrative Agent shall have received an executed copy of a written opinion of Cravath, Swaine & Xxxxx LLP, counsel for the Loan Parties, addressed to the Administrative Agent and the Lenders party to the Credit Agreement (immediately after the 2017 Refinancing), dated as of the 2017 Refinancing Effective Date, in form and substance reasonably satisfactory to the Administrative Agent.
