The Administrative Agent shall have received an executed copy of a written opinion of Cravath, Swaine & Xxxxx LLP, counsel for the Loan Parties, addressed to the Administrative Agent and the Additional B Term Lenders, dated as of the Incremental Effective Date, in form and substance reasonably satisfactory to the Administrative Agent.
