Common use of Opinion of Counsel to the Agents Clause in Contracts

Opinion of Counsel to the Agents. (i) An opinion, dated such date, of Cxxxxx Xxxxxxxx Xxxxx & Hxxxxxxx LLP, in form and substance satisfactory to the Agents (or the Purchaser, as the case may be) covering the matters set forth in Exhibit D hereto; and (ii) a negative assurance letter, dated such date, of Cxxxxx Xxxxxxxx Xxxxx & Hxxxxxxx LLP, in form and substance satisfactory to the Agents (or the Purchaser, as the case may be) covering such other matters as the Agents (or the Purchaser, as the case may be) may reasonably require.

(i) An opinion, dated such date, of Cxxxxx Xxxxxxxx Cleary, Gottlieb, Xxxxx & Hxxxxxxx LLPXxxxxxxx, counsel to the Agents, in form and substance satisfactory to the Agents (or the Purchaser, as the case may be) covering the matters set forth in Exhibit D E hereto; and (ii) a negative assurance letter, dated such date, of Cxxxxx Xxxxxxxx Cleary, Gottlieb, Xxxxx & Hxxxxxxx LLPXxxxxxxx, counsel to the Agents, in form and substance satisfactory to the Agents (or the Purchaser, as the case may be) covering such other matters as the Agents (or the Purchaser, as the case may be) may reasonably require.
