Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, New York counsel for the Borrower, in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of (A) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, New York counsel for the Borrower, in form and substance reasonably acceptable to (B) Xxxxxxx LLP, Maryland counsel for the Administrative Agent Borrower, (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Original Effective Date) of SkaddenXxxxxxx, Arps, Slate, Xxxxxxx & Xxxx LLP, New York counsel for the Borrower, in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Skadden, Arps, Slate, Xxxxxxx Xxxxxx Xxxxxxxx Xxxxx & Xxxx Xxxxxxxx LLP, New York counsel for the BorrowerBorrower and the Subsidiary Guarantors, in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable executed written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Closing Date) of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, New York counsel for the Borrower, in form and substance reasonably acceptable satisfactory to the Administrative Agent, covering such matters relating to the Borrower, this Agreement or the Transactions as the Administrative Agent shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Original Effective Date) of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, New York counsel for the Borrower, in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of SkaddenWachtell, ArpsLipton, SlateXxxxx & Xxxx, Xxxxxxx & Xxxx LLP, New York special counsel for the BorrowerBorrower and NYSE Group and of internal counsel for the Borrower and NYSE Group, in each case, in form and substance reasonably acceptable satisfactory to the Administrative Agent (and the Borrower and NYSE Group hereby instructs instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Restatement Effective Date) of Skadden, Arps, Slate, Xxxxxxx Mxxxxxx & Xxxx Fxxx LLP, New York counsel for the Borrower, Borrower in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Skadden, Arps, Slate, Xxxxxxx Meagher & Xxxx Flom LLP, New York counsel for the Borrower, Borrower in form and substance xxx xxxstaxxx reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion of (addressed to the Administrative Agent and the Lenders and dated the Effective Datei) of Skadden, Arps, Slate, Xxxxxxx Xxxxxxxxx & Xxxx Xxxxxxxx LLP, special New York counsel for the Borrower and (ii) Xxxx Xxx, General Counsel M&A of the Borrower, each of which shall be reasonably satisfactory to the Administrative Agent in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinion opinions to the Lenders and the Administrative Agent).
