Common use of Opinion of Counsel to the Borrower Clause in Contracts

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Xxx Xxxxx Xxxxxxx Incorporated, counsel for the Borrower, substantially in the form of Exhibit B, and covering such other matters relating to the Borrower, this Agreement or the Transactions as the Required Lenders shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Xxx Xxxxx Hull, Xxxxxx, Xxxxxx, Xxxxxxx Incorporated& Xxxxxx, P.C., counsel for the Borrower, substantially in the form of Exhibit BD, and covering such other matters relating to the Borrower, this Agreement or the Transactions as the Required Lenders shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the First Restatement Effective Date) of Xxx Xxxxx Xxxxxxx IncorporatedXxxxxx & Xxxxxxxx, P.A., counsel for the Borrower, substantially in the form of Exhibit B, and covering such other matters relating to the BorrowerObligors, this Agreement or in form and substance satisfactory to the Transactions as the Required Lenders shall reasonably request Administrative Agent (and the Borrower Obligors hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Xxx Xxxxx Xxxxxxx IncorporatedPaul, Hastings, Xxxxxxxx & Xxxxxx LLP, counsel for the Borrower, substantially in the form of Exhibit B, Borrower and covering such other matters relating to the Borrower, this Agreement or the Transactions as the Administrative Agent or the Required Lenders shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrower. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of Xxx Xxxxx Xxxxxxx IncorporatedXxxxxx X. Xxxx, counsel for the Borrower, substantially in the form of Exhibit BC, and covering such other matters relating to the Borrower, this Agreement or and the Transactions transactions contemplated hereby as the Required Lenders shall reasonably request (and the Borrower hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
