Common use of Opinion of Counsel to the Borrower Clause in Contracts

Opinion of Counsel to the Borrower. Favorable written opinions (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of: (x) Fried, Frank, Harris, Xxxxxxx & Xxxxxxxx LLP, special New York counsel for the Borrower, and (y) Dechert LLP, counsel to the Borrower, each in form and substance reasonably acceptable to the Administrative Agent (and the Borrower hereby instructs such counsel to deliver such opinions to the Lenders and the Administrative Agent).
