Common use of Opinion of Counsel to the Borrowers Clause in Contracts

Opinion of Counsel to the Borrowers. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of (i) Wachtell, Lipton, Xxxxx & Xxxx, special counsel for the Borrowers and (ii) internal counsel for the Borrowers, in each case, in form and substance reasonably satisfactory to the Administrative Agent (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).

Opinion of Counsel to the Borrowers. A favorable written opinion (addressed to the Administrative Agent and the Lenders and dated the Effective Date) of (i) WachtellXxxxxx Xxxxxx White & XxXxxxxxx LLP, Lipton, Xxxxx & Xxxx, special counsel for the Borrowers and (ii) internal counsel for the Borrowers, substantially in each casethe form of Exhibit B, in form and substance reasonably satisfactory covering such other matters relating to the Administrative Agent Borrowers, this Agreement or the Transactions as the Required Lenders shall reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).
