Common use of Opinion of Counsel to the Loan Parties Clause in Contracts

Opinion of Counsel to the Loan Parties. The Administrative Agent shall have received a written opinion (addressed to the Administrative Agent, the Issuing Lenders and the Lenders and dated the Closing Date) of Fxxxx & Lxxxxxx LLP, counsel for the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent, covering such other matters relating to the Loan Parties, this Agreement or the Transactions as the Administrative Agent shall reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Lenders and the Administrative Agent).

The Administrative Agent shall have received a written an opinion (addressed to the Administrative Agent, the Issuing Lenders Agent and the Lenders and party to the Credit Agreement, dated the Closing Incremental Facilities Effective Date) , of Fxxxx Xxxxxxxx & Lxxxxxx Xxxxx LLP, counsel for the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent, covering such other matters relating to the Loan Parties, this Agreement or the Transactions covering such matters as the Administrative Agent shall reasonably request (and the Borrowers hereby instruct such counsel to deliver such opinion to the Incremental Term Lenders and the Administrative Agent)may reasonably request.

The Administrative Agent shall have received a favorable written opinion (addressed to the Administrative Agent, the Issuing Lenders Agent and the Lenders as of the Effective Date and dated the Closing Effective Date) of Fxxxx & Lxxxxxx LLP, special counsel for to the Loan Parties, in form and substance reasonably satisfactory to the Administrative Agent, Agent and covering such other matters relating to the Loan Parties, this Agreement or and the Effective Date Transactions as the Administrative Agent shall reasonably request (and the Borrowers Parent Borrower hereby instruct instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).
