Common use of Opinion of Counsel to the Obligors Clause in Contracts

Opinion of Counsel to the Obligors. The Administrative Agent shall have received opinions, dated the Effective Date, of General Counsel of the Borrower and of Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, special counsel for the Borrower in form and substance reasonably satisfactory to the Administrative Agent (and each Obligor hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

The Administrative Agent shall have received opinions, dated the Effective Date, of General Counsel of the Borrower and of Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, special counsel for the Borrower Borrower, in form and substance reasonably satisfactory to the Administrative Agent (and each Obligor hereby instructs such counsel to deliver such opinion to the Lenders and the Administrative Agent).

The Administrative Agent shall have received opinionsa favorable written customary opinion (addressed to the Administrative Agent, the Collateral Agent and the Lenders and dated the Amendment No. 5 Effective Date, ) of General Counsel of the Borrower and of Xxxxxx & Xxxxxxx Xxxxxxx & Xxxxxxxx LLP, special counsel for the Borrower Obligors, in form and substance reasonably satisfactory to the Administrative Agent and covering such matters as the Administrative Agent may reasonably request (and each Obligor the Obligors hereby instructs instruct such counsel to deliver such opinion to the Lenders Lenders, the Administrative Agent and the Administrative Collateral Agent).
