Opinion of Counsel to the Parent. Each of the Lenders and -------------------------------- the Administrative Agent shall have received a favorable legal opinion addressed to the Lenders and the Administrative Agent, from Piper & Marbury, L.L.P., counsel to the Parent, dated as of the Closing Date, in form and substance satisfactory to the Lenders and the Administrative Agent.
