Common use of Opinion of Counsel to the Underwriters Clause in Contracts

Opinion of Counsel to the Underwriters. The Representatives shall have received from Xxxxxxx Xxxxx LLP, counsel for the Underwriters, such opinion or opinions, dated such Delivery Date, with respect to the issuance and sale of the Units, the Registration Statement, the Prospectus and the Pricing Disclosure Package and other related matters as the Representatives may reasonably require, and the Partnership Parties shall have furnished to such counsel such documents as they reasonably request for the purpose of enabling them to pass upon such matters.

Opinion of Counsel to the Underwriters. The On or prior to the Closing -------------------------------------- Date, the Representatives shall have received from Xxxxxxx Xxxxx LLPXxxx & Xxxxxxxxx, counsel for to the Underwriters, such opinion or opinions, dated such Delivery Date, opinions with respect to the issuance and sale of the UnitsInitial Shares, the Registration Statement, Statement and the Prospectus and the Pricing Disclosure Package and such other related matters as the Representatives reasonably may request, and such counsel shall have received such documents and other information as they may reasonably require, and the Partnership Parties shall have furnished request to such counsel such documents as they reasonably request for the purpose of enabling enable them to pass upon such matters.
