Common use of Opinion of Counsel to Trustee; Officers' Certificate Clause in Contracts

Opinion of Counsel to Trustee; Officers' Certificate. The Trustee, subject to the provisions of SECTION 5.1 and SECTION 5.2 hereof, shall receive an Officers' Certificate and an Opinion of Counsel as conclusive evidence that any such merger, consolidation, sale, lease or transfer, and any such assumption of obligations described in this ARTICLE 8, and any such liquidation or dissolution described in this ARTICLE 8, complies with the applicable provisions of this Indenture.

Opinion of Counsel to Trustee; Officers' Certificate. The Trustee, subject to the provisions of SECTION 5.1 Section 7.1 and SECTION 5.2 hereof7.2, shall receive and be entitled to conclusively rely upon an Officers' Certificate and an Opinion of Counsel as conclusive evidence each stating that any such consolidation, merger, consolidation, sale, transfer, lease or transfer, and any such assumption of obligations described in this ARTICLE 8, and any such liquidation or dissolution described in this ARTICLE 8, conveyance complies with the applicable provisions of this IndentureIndenture and that all conditions precedent herein provided relating to such transaction have been complied with.
