Common use of Opinion of General Counsel for the Company Clause in Contracts

Opinion of General Counsel for the Company. R. Xxxxxxx Xxxxx, Esq., in his capacity as General Counsel for the Company and not in his personal capacity, shall have furnished to the Representative, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Representative, substantially in the form set forth in Annex A-3 hereto. The Representative acknowledges and agrees that such General Counsel shall not have any personal liability in connection with or arising from the delivery or content of such opinion.

Opinion of General Counsel for the Company. R. Xxxxxxx Xxxxx, Esq., in his capacity as General Counsel for the Company and not in his personal capacity, shall have furnished to the RepresentativeUnderwriter, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the RepresentativeUnderwriter, substantially in the form set forth in Annex A-3 hereto. The Representative Underwriter acknowledges and agrees that such General Counsel shall not have any personal liability in connection with or arising from the delivery or content of such opinion.

Opinion of General Counsel for the Company. R. Xxxxxxx Axxxxxx Xxxxx, Esq., in his capacity as General Counsel for the Company and not in his personal capacity, shall have furnished to the RepresentativeRepresentatives, at the request of the Company, his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the RepresentativeUnderwriters, substantially in form and substance reasonably satisfactory to the form Representatives, to the effect set forth in Annex A-3 Exhibit B hereto. The Representative acknowledges Underwriters acknowledge and agrees agree that such General Counsel shall not have any personal liability in connection with or arising from the delivery or content of such opinion.

Opinion of General Counsel for the Company. R.
