Opinion of General Counsel for the Company. Xxxxxxx X. Xxxxxx, Executive Vice President, General Counsel and Secretary of the Company, shall have furnished to the Representatives on the Closing Date and any Option Closing Date, at the request of the Company, his written opinion, dated the Closing Date or the Option Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.

XxxxxxXxxxx, Executive Senior Vice President, President and General Counsel and Secretary of the Company, shall have furnished to the Representatives on the Closing Date and any Option Closing DateRepresentatives, at the request of the Company, his written opinion, dated the Closing Date or the Option Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C hereto.

XxxxxxXxxxx, Esq., Executive Vice President, President and General Counsel and Secretary of for the Company, shall have furnished to the Representatives on the Closing Date and any Option Closing Date, at the request of the CompanyRepresentatives, his written opinion, dated the Closing Date or the Option applicable Additional Closing Date, as the case may be, and addressed to the Underwriters, substantially in the form and substance reasonably satisfactory to the Representatives, to the effect set forth in Annex C of Exhibit B hereto.
