Opinion of General Counsel for the Company. Xxxxxx X. Xxxxx, Xx., general counsel for the Company, shall have furnished to the Representatives his written opinion, dated the Closing Date, in form as set forth on Exhibit A-2 hereto.

Xxxxx, Xx., general counsel for the Company, The Representative shall have furnished to the Representatives his written received an opinion, dated the Closing Date, of Xxxxxxx Xxxxxxx, Esq., general counsel for the Company and TMM Holdings substantially in the form as set forth on of Exhibit A-2 C hereto.

XxxxxXxxxxxxx, Xx., general counsel for Executive Vice President and General Counsel of the Company, shall have furnished to the Representatives his written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, in form as set forth on Exhibit A-2 heretoand substance reasonably satisfactory to the Representatives.

XxxxxXxxxxx, Xx., general counsel General Counsel for the Company, shall have furnished to the Representatives his Representative, at the request of the Company, her written opinion, dated the Closing Date and any Additional Closing Date, as the case may be, and addressed to the Underwriters, in form as and substance reasonably satisfactory to the Representative, to the effect set forth on Exhibit A-2 in Annex A-3 hereto.
