Opinion of General Counsel for the Company. Xxxxxx X. Xxxxxxxx, Associate Counsel of the Company, shall have furnished to the Representative, at the request of the Company, her written opinion, dated the Closing Date and addressed to the Underwriters, in the form set forth in Annex C hereto.

Opinion of General Counsel for the Company. Xxxxxx Xxxxxxx X. XxxxxxxxXxxxxxxxxx, Associate General Counsel of the Company, shall have furnished to the RepresentativeUnderwriters, at the request of the Company, her a written opinion, dated the Closing Date or any Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to the form Underwriters, to the effect set forth in Annex C A-2 hereto.
