Common use of Opinion of German Counsel for the Underwriters Clause in Contracts

Opinion of German Counsel for the Underwriters. The Representatives shall have received from Shearman & Sterling LLP, German counsel for the Underwriters, an opinion dated the Subscription Time, with respect to such matters as the Representatives may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

Opinion of German Counsel for the Underwriters. The Representatives Representative shall have received from Shearman & Sterling on and as of the Closing Date , an opinion of Nxxxx LLP, German counsel for the Underwriters, an opinion dated the Subscription Time, with respect to such matters as the Representatives Representative may requirereasonably request, and the Company such counsel shall have furnished to such counsel received such documents and information as they it may reasonably request for the purpose of enabling to enable them to pass upon such matters.

Opinion of German Counsel for the Underwriters. The Representatives shall have received from Shearman & Sterling on and as of the Closing Date or the Additional Closing Date, as the case may be, an opinion of Noerr LLP, German counsel for the Underwriters, an opinion dated the Subscription Time, with respect to such matters as the Representatives may requirereasonably request, and the Company such counsel shall have furnished to such counsel received such documents and information as they may reasonably request for the purpose of enabling to enable them to pass upon such matters.
