Opinion of Investment Banker. The Special Committee has received the opinion of CIBC World Markets Corp. (the "Investment Banker") to the effect that, as of the date hereof, the consideration to be received by the holders of Non-Affiliated Shares pursuant to the Merger is fair to such holders from a financial point of view.
Opinion of Investment Banker. As of the date hereof, REFAC shall have received an opinion from Southcoast Capital Corporation that the transaction is fair to REFAC.
Opinion of Investment Banker. The Company has received the written opinion of Lazard Freres & Co. LLC dated the date hereof, to the effect that, based upon and subject to the matters set forth therein and as of such date, the consideration to be received by the holders of Company Common Stock in the Offer and the Merger is fair from a financial point of view to such holders.

Ophthalmic has received the written opinion of the Investment Banker to the effect that, as of the date such opinion, the financial terms of the Offer are fair, from a financial point of view to the holders of shares of Common Stock (other than Premier and its affiliates).

The Company has received the written opinion of the Investment Banker to the effect that, as of the date hereof, the consideration to be received by the holders of Common Shares (other than Parent or any of its affiliates or holders of Dissenting Shares) pursuant to the Offer and the Merger is fair to the Company's stockholders from a financial point of view.
Opinion of Investment Banker. The Company shall have received the opinion of Wasserstein, Perella & Co. that the Purchase Price is fair to the Company from a financial point of view.
Opinion of Investment Banker. The Company has received the written opinion of Pennsylvania Merchant Group (the "Investment Banker") to the effect that, as of the date hereof and subject to certain matters stated in such opinion, the consideration to be received by the holders of Common Shares pursuant to the Merger is fair to the Company's shareholders from a financial point of view.
Opinion of Investment Banker. The Company has received the opinion of Xxxxxxx, Sachs & Co. to the effect that, as of December 17, 1997, the Merger Consideration is fair to the Company's stock- holders from a financial point of view.
Opinion of Investment Banker. The Board of Directors of Atmos shall have received from Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated a written opinion, dated as of the mailing date of the Proxy Statement/Prospectus, in form and substance satisfactory to Atmos, to the effect that the Merger is fair to the shareholders of Atmos from a financial point of view.
