Common use of Opinion of Israeli Counsel for the Underwriters Clause in Contracts

Opinion of Israeli Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date, the Representatives shall have received the opinion of Gornitzky & Co., Israeli counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the Underwriters, dated as of such date.

Opinion of Israeli Counsel for the Underwriters. On each of the First Closing Date and each Option Closing Date, the Representatives there shall have received been furnished to you, as Representative of the several Underwriters, such opinion of or opinions from Gornitzky & Co., Israeli counsel for the Underwriters in connection with the offer and sale of the Offered Shares, in form and substance satisfactory to the several Underwriters, dated as of such dateClosing Date and addressed to you, with respect to the matters as you reasonably may request.
