Common use of Opinion of Managers’ Counsel Clause in Contracts

Opinion of Managers’ Counsel. At each Representation Date, Xxxxx Xxxxx L.L.P., counsel to the Managers, shall deliver a written opinion, dated as of such Representation Date, in form and substance satisfactory to the Managers (or, in the case of a Representation Date of the type described in Section 4(k)(iii), the relevant Manager party to such Terms Agreement), of the same tenor as the opinion referred to in Section 6(c) of this Agreement but modified as necessary to relate to the Registration Statement and the Prospectus as amended and supplemented to the time of delivery of such opinion.

Opinion of Managers’ Counsel. At each Representation Date, Xxxxx Xxxxx L.L.P., counsel to for the Managers (“Managers’ Counsel”), shall deliver a written opinion, dated as of such the Representation Date, in form and substance satisfactory to the Managers (or, in the case of a Representation Date of the type described in Section 4(k)(iii4(l)(iii), the relevant Manager party to such the Terms Agreement), of the same tenor as the opinion referred to in Section 6(c6(f) of this Agreement hereof, but modified as necessary to relate to the Registration Statement and the Prospectus Prospectus, in each case, as amended and supplemented to the time of delivery of such opinion.
