Common use of Opinion of Partnership Counsel Clause in Contracts

Opinion of Partnership Counsel. At each Representation Date, the Partnership shall furnish or cause to be furnished forthwith to the Managers and to counsel to the Managers a written opinion of Xxxxxxx, Xxxxxx & Xxxxx LLP, U.S. counsel for the Partnership Parties, dated and delivered the date of such Representation Date and addressed to the Managers, in form and substance satisfactory to the Managers, of the same tenor as the opinion provided in Annex II, but modified as necessary to relate to the Registration Statement and the Prospectus as amended and supplemented to the time of delivery of such opinion.

Opinion of Partnership Counsel. At each Representation Date, the Partnership shall furnish or cause to be furnished forthwith to the Managers and to counsel to the Managers Manager a written opinion of Xxxxxxx, Xxxxxx & Xxxxx LLPXxxxxx L.L.P., U.S. counsel for the Partnership Parties(“Partnership Counsel”), or other counsel satisfactory to the Manager, dated and delivered as of the date of such Representation Date and addressed to the ManagersDate, in form and substance satisfactory to the ManagersManager, of the same tenor as the opinion provided referred to in Annex IISection 6(c) hereof, but modified as necessary to relate to the Registration Statement and the Prospectus Prospectus, in each case as amended and supplemented to the time of delivery of such opinion.
