Common use of Opinion of Representative Counsel Clause in Contracts

Opinion of Representative Counsel. The Representative shall have received from Xxxxxxx Procter LLP, U.S. counsel for the Underwriters, such opinion or opinions and negative assurances statement, dated the Closing Date and any Option Closing Date (if such date is other than the Closing Date), addressed to the Underwriters, with respect to such matters as the Representative may reasonably require, and the Company shall have furnished to such counsel such documents as they request to enable them to pass upon such matters.

Opinion of Representative Counsel. The Representative shall have received from Sichenzia Xxxx Xxxxxxx Procter Xxxxxx LLP, U.S. counsel for the Underwriters, such counsel’s written opinion or opinions and a negative assurances statement, dated the Closing Date and any Option Closing Date (if such date is other than the Closing Date), addressed to the Underwriters, with respect to such matters as the Representative may reasonably require, and the Company shall have furnished to such counsel such documents as they request to enable them to pass upon such matters.
