If the opinion referred to in Section 5(b) does not cover applicable matters of Delaware law, at the Closing Date, the Underwriters shall have received the favorable opinion, dated as of the Closing Date, of special Delaware counsel to the Offerors, to the effect set forth in Exhibit B hereto.
