The Representatives shall have received on the Closing Date an opinion of Xxxxx Peabody LLP, special regulatory counsel to the Company, dated the Closing Date, to the effect set forth in Exhibit A-2 attached hereto. The opinion shall be rendered to the Representatives as representatives of the Underwriters at the request of the Company and shall so state therein.
