Common use of Opinion of the Borrower's Counsel Clause in Contracts

Opinion of the Borrower's Counsel. The Borrower shall have delivered to the Lenders, at the Borrower's expense, a favorable written opinion from (i) Xxxxxx & Bird LLP, special counsel for the Borrower and the Loan Parties, dated as of and delivered on the date of execution of this Agreement, satisfactory to the Agent and substantially in the form of Exhibit E attached hereto, and (ii) J. Xxxxx Xxxxx, Esq., General Counsel, Vice President, and Secretary of the Borrower, dated as of and delivered on the date of execution of this Agreement, satisfactory to the Agent and substantially in the form of Exhibit F attached hereto;
