Common use of Opinion of Underwriters’ Counsel Clause in Contracts

Opinion of Underwriters’ Counsel. At the Closing Date and in connection with any Option Closing Date, the Representatives shall have received the opinion and negative assurance letter, dated the Closing Date or Option Closing Date, as applicable, of Mxxxxxxx & Fxxxxxxx LLP, counsel for the several Underwriters.

Opinion of Underwriters’ Counsel. At the Closing Date and in connection with any Option Closing Date, the Representatives Underwriters shall have received the written opinion and negative assurance letter, dated the Closing Date or Option Closing Date, as applicable, letter of Mxxxxxxx Xxxxxx & Fxxxxxxx Xxxxxxx LLP, counsel for the several Underwriters, dated the Closing Date, as to such matters as the Underwriters shall reasonably request.

At the Closing Date and in connection with any Option Closing Date, as applicable, the Representatives Representative shall have received the opinion and negative assurance letter, dated the Closing Date or such Option Closing Date, as applicable, of Mxxxxxxx & Fxxxxxxx LLPThe NBD Group, Inc., counsel for the several Underwriters.
